SunGard to Acquire Inflow, Inc.

Denver, CO — (Business Wire) — SunGard

Availability Services, an operating group of SunGard (NYSE: SDS),

announced today that it has reached a definitive agreement to acquire

Denver-based Inflow, Inc. The acquisition shall be in the form of a

merger with Inflow, Inc. The acquisition is expected to be finalized in

the first quarter of 2005. There will be limited operational changes as

Inflow’s team, known for their superior service delivery, will continue

its Denver network operations center and IDC operations in its existing

14 datacenters.

SunGard Availability Services is a leading provider of information

availability services with more than 10,000 clients predominantly in

North America and Europe. SunGard manages over three million square feet

of hardened facilities and offers a complete range of information

availability services. Whether always on, dedicated high availability

solutions or less time sensitive requirements, SunGard Availability

Services has a complete portfolio of managed IT, business continuity and

professional services to help ensure customers solutions are secure,

reliable and compliant.

Art Zeile, Inflow’s CEO, commented: “This merger is an excellent

combination for our customers. Inflow is an application hosting and

managed services company that has been moving steadily into business

continuity services. SunGard is the acknowledged market leader in

business continuity services and has been strengthening its managed

services capabilities. The merging of these two companies will provide

Inflow’s customers an even larger breadth of business continuity and

professional services, global operating locations, an extraordinary

brand and financial depth.”

“This is a remarkable time for our industry because both mission

critical application transactions and data storage are growing in size

and demand. Inflow is excited to be part of an industry leader to help

customers manage both aspects of their business,” Mr. Zeile said.

“Inflow will continue its intense focus on the customer. A shared

commitment to customer satisfaction, along with Inflow’s reputation for

superior quality of service, process control and a complementary

geographic footprint is what attracted SunGard Availability Services to

Inflow,” stated Mr. Zeile.

Inflow was advised in this transaction by Credit Suisse First Boston LLC and Holme, Roberts & Owen LLP.
